NON DISCLOSURE AGREEMENT (NDA)

PT PrandiYum Nusantara Digital

Effective Date: 05 January 2025

By accessing, viewing, or otherwise engaging with any content, documentation, or proprietary materials provided by PT PrandiYum Nusantara Digital (“Company”), you (“Recipient”) agree to the terms and conditions of this Non Disclosure Agreement (“Agreement”).

1. Purpose

This Agreement is intended to protect the confidential and proprietary information shared by PT PrandiYum Nusantara Digital in the context of business discussions, evaluation, or other professional engagements.

2. Definition of Confidential Information

“Confidential Information” includes but is not limited to:

  • Intellectual property, product concepts, and creative materials
  • Software, designs, code, and technical specifications
  • Business plans, strategies, and internal documents
  • Financial data, customer lists, and marketing insights
  • Any other non public information marked as confidential or understood to be confidential

3. Recipient’s Obligations

By viewing or accessing any material from the Company, you agree to:

  • Maintain the confidentiality of all such information
  • Not share, copy, distribute, or disclose the information to any third party
  • Use the information solely for the intended purpose authorized by the Company
  • Take reasonable steps to protect the information from unauthorized access

4. Exclusions

This Agreement does not apply to information that:

  • Becomes publicly known through no breach of this Agreement
  • Was lawfully obtained by the Recipient independently and without restriction
  • Is independently developed without reference to the Company’s Confidential Information

5. Duration

This Agreement remains in effect from the moment the Recipient views the document and will continue indefinitely unless otherwise terminated in writing by PT PrandiYum Nusantara Digital.

6. Ownership and Rights

All Confidential Information remains the exclusive property of PT PrandiYum Nusantara Digital. No rights or licenses are granted under this Agreement.

7. Acknowledgement and Consent

By viewing or accessing this document, you acknowledge and agree to be bound by this NDA. If you do not agree, you must not view, use, or retain any part of the Confidential Information.

8. Governing Law

This Agreement is governed by the laws of the Republic of Indonesia.
